MiFID II

MiFID II has been described as the most far-reaching legislation ever to impact the financial sector. It takes the current MiFID legislation, designed to crack down on miss-selling of financial products and add transparency to high-frequency trading, and updates it to be even sterner, clarifying grey areas, broadening its scope to include IFAs and other, smaller financial organisations, and attempt to keep up with the pace of technological change within financial companies’ operating models. So while it comes as no surprise to many in the financial sector, the broader remit, wider reach, and a deadline for stand to cause headaches across the industry and have left many questions unanswered.

Technology has changed significantly in the five years since the original MiFID was introduced, and even more since it was first conceived in 2007. Financial trades can be completed quicker than ever previously possible, communications technology has evolved and channels have diversified, outpacing regulators and giving more freedom to increasingly mobile employees.

All of these advancements have resulted in existing regulation becoming unclear, outdated and increasingly unfit for purpose as regulate companies debated how to balance employee’s rights and their need for more flexible working environments with rules governing sales-related call recording.In some cases, this has led to firms arguing that calls made on non-company handsets were exempt from regulation, and in other, extreme cases, employers banning employees’ devices from work for fear of breaching the rules. The new reporting requirements have been significantly expanded from MiFID I. From 2017, any communications which may result in a transaction – including instant messaging, emails, calls – including those across staff members’ own devices – and digital channels such as Skype will now all be encompassed.
